These Terms of Service ("Terms") are a legal agreement between you and So Shiny Software, LLC, a Florida limited liability company with offices in Daytona Beach, Florida ("SoShiny," "we," "us"). By creating an account, signing in, or using soshiny.com or any of our software, websites, mobile applications, or services (the "Service"), you agree to these Terms.
If you are accepting these Terms on behalf of an association, condominium, homeowners association, marina, campground, RV park, retirement community, co-op, or other organization, you represent that you have authority to bind that organization, and "you" means both you and that organization.
These Terms include an arbitration agreement and a class action waiver (Section 16). Read them carefully.
1. The Service
SoShiny provides association management software for condos, HOAs, marinas, campgrounds, RV parks, retirement communities, co-ops, and similar communities. Features include but are not limited to: a public association website, resident directory, rules and bylaws repository, document storage, announcements, email and SMS broadcasts, lobby announcement displays, events calendar, board meetings and minutes, voting and ballots, concerns and compliments, architectural review, work orders, amenity booking, vehicle registry, insurance and COI tracking, e-signatures, FAQ, photo galleries, storage tracking, activity log, marketplace, property listings, area attractions, newsletter signup, violations workflow, in-app help, and Florida statute references.
We may add, modify, or remove features at our discretion. We will give reasonable notice before removing a feature that materially reduces functionality you depend on.
2. Accounts and Eligibility
- You must be at least 18 years old to create an account.
- You are responsible for maintaining the confidentiality of your password and for all activity under your account.
- You agree to provide accurate, current, and complete information when registering and to keep it up to date.
- You may not let anyone else use your account or transfer it without our written consent.
- Notify us at privacy@soshiny.com if you suspect unauthorized use.
3. Free Trial
SoShiny offers a 30-day free trial. No credit card is required to start. At the end of the trial, you may choose to continue on a paid plan or let the account expire. We may modify or end the free trial at any time.
4. Fees and Payment
- Base fee: $50 per month for up to 20 units.
- Unit fee: $0.50 per unit per month above the base, applied to your total unit count.
- Custom domain: optional $99 per year add-on, where available.
- Billing cycle: monthly, in advance, charged to the payment method on file.
- Taxes: fees are exclusive of any sales, use, value-added, or similar taxes, which you are responsible for paying.
- Late payment: if a payment fails, we will retry the charge. If payment remains unpaid for 14 days, we may suspend access until the balance is resolved.
- Price changes: we may change fees with at least 30 days' notice by email. Continued use after the change takes effect constitutes acceptance.
5. Cancellation and Refunds
- You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- We do not provide refunds for partial months.
- If we materially reduce functionality during a paid term, you may cancel and receive a prorated refund of unused fees.
- After cancellation, you have 30 days to export your data before we delete it. See Privacy Policy Section 9 for retention details.
6. Your Content
You retain all rights to content you upload to SoShiny — documents, photos, rules, meeting minutes, ballots, e-signatures, work orders, COIs, directory entries, and any other data ("Your Content").
You grant SoShiny a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, display, and process Your Content solely to provide the Service to you and your association.
You represent that:
- You own or have permission to upload Your Content.
- Your Content does not violate any law or third-party right.
- You have obtained any consent required from residents, members, slip holders, or other individuals whose personal information you upload.
We do not use Your Content to train artificial intelligence models. We do not sell Your Content. We do not share Your Content with advertisers.
7. Voting, E-Signatures, and Governance Records
SoShiny provides tools to run association votes and to collect electronic signatures.
- Electronic signatures collected through SoShiny are intended to satisfy the U.S. ESIGN Act and the Uniform Electronic Transactions Act (UETA) and equivalent state laws.
- You are responsible for ensuring that your association's governing documents and applicable state law permit electronic voting and electronic signatures for the purpose in question.
- SoShiny is a tool. We do not certify, witness, or notarize votes or signatures. Audit records, timestamps, and IP logs are provided to assist your association in defending the integrity of its records.
- You agree to retain governance records (votes, signatures, minutes) in accordance with applicable state law, even after you cancel.
8. Communications Sent Through the Service
SoShiny can deliver messages on your behalf via email (Postmark), SMS (Twilio), voice (Twilio Programmable Voice), and postal mail (Lob).
You are solely responsible for:
- The content of every message sent through SoShiny on your behalf.
- Obtaining and documenting any required consents (TCPA, CAN-SPAM, state telemarketing laws, "do not call" lists).
- Honoring opt-out requests promptly.
- Sending messages only to recipients who have a legitimate relationship with your association.
SoShiny is not a "telephone solicitor" and does not control the content, timing, or recipients of your messages. You agree to defend, indemnify, and hold SoShiny harmless from claims arising out of messages you send.
9. Acceptable Use
You agree not to:
- Use SoShiny for any unlawful purpose or in violation of any applicable law.
- Send spam, harass, threaten, or defame anyone.
- Upload malware, viruses, or any code intended to harm any system or person.
- Attempt to access another association's data without authorization.
- Reverse engineer, decompile, or disassemble the Service except as permitted by law.
- Resell, sublicense, or white-label the Service without a written agreement with SoShiny.
- Use the Service to compete with SoShiny or to benchmark for a competing product.
- Scrape, crawl, or use automated means to extract data, except via our published APIs.
We may suspend or terminate accounts that violate this section.
10. Intellectual Property
The Service, including all software, design, text, graphics, logos, and trademarks ("SoShiny IP"), is owned by So Shiny Software, LLC and protected by U.S. and international law. Nothing in these Terms grants you any right in SoShiny IP except the limited right to use the Service while your account is active.
"SoShiny" and the SoShiny logo are trademarks of So Shiny Software, LLC.
11. Third-Party Services
The Service relies on third-party providers — Hostinger, Stripe, Postmark, Twilio, Lob, and Google. Your use of any feature that depends on a third party is also subject to that provider's terms. We are not responsible for outages, errors, or changes by third-party providers, but we will work in good faith to maintain reliable integrations.
12. Service Availability
We target high availability but do not guarantee uninterrupted service. We may perform scheduled or emergency maintenance. We will provide reasonable advance notice for scheduled maintenance when possible.
13. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, SoShiny disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
SoShiny is not a law firm. Nothing in the Service, including Florida statute references or sample governance documents, constitutes legal advice. Consult a licensed attorney for legal questions affecting your association.
SoShiny is not an insurance broker. The Insurance and COI Tracker is a recordkeeping tool only and does not place, bind, or verify coverage.
14. Limitation of Liability
To the maximum extent permitted by law:
- SoShiny will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.
- SoShiny's total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid SoShiny in the 12 months immediately preceding the claim, or (b) one hundred U.S. dollars ($100).
15. Indemnification
You agree to defend, indemnify, and hold harmless SoShiny, its members, employees, and contractors from any claim, loss, liability, damage, or expense (including reasonable attorney fees) arising out of: (a) your use of the Service; (b) Your Content; (c) messages sent through the Service on your behalf; (d) your violation of these Terms or any law; or (e) your violation of any third-party right.
16. Governing Law, Arbitration, and Class Action Waiver
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be held in Volusia County, Florida, or by video conference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and SoShiny each waive any right to bring or participate in a class, collective, or representative action. Disputes must be brought individually.
Small claims and injunctive relief. Either party may bring an individual action in small claims court or seek injunctive relief to protect intellectual property rights in any court of competent jurisdiction.
Opt out of arbitration. You may opt out of the arbitration agreement by sending written notice to privacy@soshiny.com within 30 days of first accepting these Terms. Opting out will not affect any other part of these Terms.
17. Termination by Us
We may suspend or terminate your account if you violate these Terms, fail to pay, engage in fraud, or pose a security risk. When practical, we will give notice and an opportunity to cure. After termination, you have 30 days to export your data.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced by email to account administrators at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
19. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy form the entire agreement between you and SoShiny.
- Severability. If any provision is found unenforceable, the remaining provisions stay in effect.
- No waiver. Our failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events outside its reasonable control.
- Notices. We may give notice by email to the address associated with your account. You give notice to us at privacy@soshiny.com.
